                                      GENERAL TERMS AND CONDITIONS


                   obligations or securities.  Such assignment shall not obligate the
                   assignee in any respect to perform the obligation of the assignor
                   under the Service Agreement.


              12.  LAWS, REGULATIONS AND ORDERS
                   ----------------------------

                   All Service Agreements made pursuant to Northern's Rate Schedules and
                   the respective rights and obligations of the parties thereto are
                   subject to all present and future valid laws, orders, rules and
                   regulations of any legislative body, or duly constituted authority
                   now or hereafter having jurisdiction and shall be varied and amended
                   to comply with or conform to any valid rule, regulation, order, or
                   direction of any board, tribunal, or administrative agency which
                   affects any of the provisions of the Service Agreements.

              13.  APPLICABLE LAW
                   --------------

                   AS TO ALL MATTERS OF CONSTRUCTION AND INTERPRETATION, THE
                   SERVICE AGREEMENT SHALL BE INTERPRETED, CONSTRUED AND GOVERNED BY THE
                   LAWS OF THE STATE OF NEBRASKA.


              14.  WAR AND NATIONAL DEFENSE
                   ------------------------

                   During any period in which a state of war exists between the
                   United States and any foreign power, both Northern and
                   Shipper/Buyer shall recognize that the national defense is
                   paramount to any contractual obligations then existing between them,
                   and, notwithstanding the provisions of any such Service Agreements,
                   neither shall assert, nor be required to assume, any obligation which
                   is inconsistent with or contrary to any Governmental policy, rule,
                   regulation or order made, issued or promulgated in the promotion
                   thereof.


              15.  COMPLIANCE
                   ----------

                   Northern shall not be required to perform service under a
